For contractors

The referral agreement.

This is the whole thing, word for word, as every contractor in the network signs it. One page, no fine print, the rate stated on every offer. Current version 2026-10: the greater of $50 or 5% of the final contract total, due 15 days after the homeowner's final payment.

FAIRLYQUOTED REFERRAL AGREEMENT
Version 2026-10

This Referral Agreement (the "Agreement") is between FairlyQuoted, 24930 WASHINGTON AVE MURRIETA, CA 92562 ("FairlyQuoted", "we", "us") and the Contractor ("Contractor", "you"). It takes effect on 2026-11-03, the date you accept it electronically, and governs every job we refer to you from that date on.

1. WHAT WE DO
1.1 FairlyQuoted is a referral service for homeowners. A homeowner describes a project to us, we identify contractors in the area who appear suited to it, and we offer the project to one contractor at a time. When you accept, we introduce you to the homeowner and arrange the first visit.
1.2 FairlyQuoted is not a contractor, does not perform or supervise construction work, and does not set, negotiate or guarantee the price of any work. Our estimate ranges are general information for homeowners. You alone decide what to quote.
1.3 Every contractor in our network pays the same referral rate. Nobody can pay for a better position. Our order is based on public license records, public reviews, proximity, fit to the project, and the contractor's history with our homeowners.
1.4 We make no promise about the number of referrals, that any homeowner will hire you, or that any job will proceed.

2. WHAT YOU DO
2.1 You hold, and will keep, every license, registration, bond and insurance that the law where the work is performed requires for that work. You will tell us within 7 days if any of them lapses, is suspended or is revoked.
2.2 You are an independent business. You contract directly with the homeowner, in your own name, on your own terms. Nothing here makes either of us the agent, partner, employee or joint venturer of the other.
2.3 When you accept a referred job you will, within 24 hours, accept this Agreement (the first time only) and provide times for a site visit through the link we send. If you do not, the offer lapses and we may offer the job to another contractor.
2.4 You will keep the visit you book, or reschedule it through us before the appointment. You will treat the homeowner's contact details as confidential and use them only for the referred job.
2.5 You will report the outcome of each referred job to us when we ask: whether you quoted, whether the homeowner proceeded, and the final contract total. We ask twice: after the visit and after the work. Honest and timely reporting is a condition of staying in the network.

3. REFERRAL FEE
3.1 For each referred job that results in work for the homeowner, you owe FairlyQuoted a referral fee equal to the greater of (a) $50 or (b) 5% of the Final Contract Total. The rate and minimum stated on the offer for a job are the ones that apply to that job; changes apply only to jobs offered after you are notified.
3.2 "Final Contract Total" means everything the homeowner pays you for the referred project, including change orders, additions and materials you bill, before any discounts you choose to give.
3.3 "Referred job" includes the project we introduced you to and any further work you perform for the same homeowner at the same property within 12 months of the first visit.
3.4 The fee is due within 15 days after the homeowner's final payment to you. We invoice it electronically. You may pay by card or bank transfer through the invoice. A fee more than 30 days past due accrues interest at 1% per month or the highest rate the law allows, whichever is lower.
3.5 No fee is owed if the homeowner does not proceed with the work, or if you decline the job before the visit.
3.6 You may not pass the fee to the homeowner as a separate line item called a referral fee or similar. How you price your work is your business.

4. HOW THE TOTAL IS VERIFIED
4.1 We ask the homeowner and you to report the outcome and the Final Contract Total. If the homeowner reports that no work proceeded and you report that it did, your report governs. If the homeowner reports that work proceeded and you report that it did not, we will ask you to explain, and a person at FairlyQuoted will decide based on both accounts and any documents either of you provide.
4.2 If neither you nor the homeowner reports a total within 30 days after the visit, we may invoice the fee on the midpoint of our estimate range for the project, and you may correct it with the actual contract total within 15 days of the invoice.
4.3 Disputes about a total are resolved first by the exchange in 4.1, then by invoice, then under Section 9.

5. STAYING IN THE NETWORK
5.1 We may stop offering you jobs if you miss visits, do not respond within the time in 2.3, do not report outcomes, report inaccurately, lose a required license, or receive credible complaints from our homeowners. We will tell you why, and a person reviews every such decision. Removal is never automatic.
5.2 You may stop receiving referrals at any time by telling us in writing. Fees on jobs already referred to you survive.

6. TERM AND TERMINATION
6.1 This Agreement continues until either party ends it with written notice (email is fine). Ending it does not affect fees owed on jobs referred before the notice, including work covered by 3.3.
6.2 We may update this Agreement by sending you the new version. The new version applies to jobs offered to you after you receive it. Jobs already referred stay under the version in force when they were offered.

7. CONFIDENTIALITY AND PRIVACY
7.1 Homeowner information we give you is confidential. Use it for the referred job only; do not sell, share or add it to marketing lists.
7.2 We may publish reviews and ratings our homeowners give about referred work, and may display your business name, license number and public record facts to homeowners.

8. DISCLAIMERS AND LIMITS
8.1 We provide introductions as-is. We do not warrant the homeowner's creditworthiness, the accuracy of information they give us, or that a job matches its description.
8.2 Neither party is liable to the other for indirect, incidental or consequential damages, or for lost profits, arising from this Agreement. Our total liability to you under this Agreement will not exceed the referral fees you paid us in the 12 months before the claim.
8.3 You are responsible for your work, your workers, your subcontractors and your compliance with law. You will defend and indemnify FairlyQuoted against claims arising from work you perform or fail to perform for a referred homeowner.

9. DISPUTES AND GOVERNING LAW
9.1 This Agreement is governed by the laws of the State of California. The parties will first try to resolve any dispute by direct discussion within 30 days of written notice. Unresolved disputes are decided in the state courts located in Riverside County, California, and the parties consent to that venue.

10. ELECTRONIC SIGNATURE
10.1 You agree to sign this Agreement electronically and to receive notices and invoices by email at the address you provide. Your acceptance online has the same effect as a handwritten signature. You may request a paper copy at any time, and you may withdraw consent to electronic notices by telling us in writing, which ends new referrals.

11. ENTIRE AGREEMENT
11.1 This Agreement is the whole agreement between us about referrals. It replaces any earlier understanding. If a court finds any part unenforceable, the rest stands.
